1. Definitions
For the purposes of these Terms and Conditions:
“Company,” “We,” “Us,” “Our” refers to ExpressPrint (UEN: 53036116K), operating as PriceCal, a company incorporated in Singapore.
“User,” “You,” “Your” refers to the individual or business entity accessing or using our Services.
“Services” includes all PriceCal products, features, and offerings, including:
- PriceCal Software Subscription – Pricing calculator and automation tools for print businesses
- PrintWeb – Custom web-to-print solutions and online ordering platforms (learn more at https://pricecal.co/printweb/)
- Printalogue – Print product catalog and resource library
- Pacdora Partnership – Integrated packaging design and dieline generation services
“Account” refers to your registered user account on the PriceCal platform.
“Subscription” refers to your paid access to PriceCal Services on a recurring basis.
“Content” refers to any data, files, designs, text, images, or other materials uploaded, created, or stored through our Services.
2. Acceptance of Terms
By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Specific Acknowledgments: You explicitly acknowledge and agree that:
- Third-Party Dependencies: Our Services rely on multiple third-party providers, and we are not liable for their actions, failures, or security practices.
- Data Risks: You accept all risks associated with storing and processing data through cloud-based services, including risks of data loss, corruption, or unauthorized access.
- No Data Guarantees: We do not guarantee data integrity, accuracy, or availability, and data issues do not constitute grounds for refunds.
- Backup Responsibility: You are solely responsible for maintaining independent backups of your critical business data.
- Limited Liability: Our liability is strictly limited as outlined in Section 12, and you waive claims for data-related issues.
- Non-Refundable: All fees are non-refundable except as explicitly stated in promotional offers or custom contracts.
- Singapore Law: These Terms are governed by Singapore law, and disputes will be resolved in Singapore courts.
If you do not agree to these Terms, including the data risk acknowledgments and liability limitations, you must not use our Services.
We reserve the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the updated Terms.
3. Account Registration and Security
3.1 Account Creation
To access our Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You agree to:
- Use a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
3.3 Account Termination and Data
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
Upon termination:
- All data may be immediately and permanently deleted
- No data recovery or export will be provided
- No refunds will be issued for lost data or remaining subscription time
- You waive any claims related to data deletion or loss of access
You acknowledge that:
- Account termination may result in permanent data loss
- We have no obligation to retain, export, or recover your data after termination
- Data deletion upon termination does not constitute grounds for refund or compensation
4. Subscription Plans and Services
4.1 Subscription Plans
PriceCal offers multiple subscription tiers designed to meet different business needs. Each plan includes specific features, user limits, and support levels.

Our pricing page is regularly updated to reflect the most current offerings, promotional rates, and feature sets available.
4.2 Pacdora Partnership
As part of our Services, we partner with Pacdora to provide packaging design and dieline generation capabilities.
Pacdora Usage Terms:
- Unlimited Design Access: All subscription plans include unlimited access to Pacdora’s design tools for creating packaging designs.
- Free Dieline Downloads: Each account receives 200 free dieline downloads per year (annual quota).
- Additional Downloads: After exhausting your annual quota, each additional dieline download costs $2 USD per download.
- Annual Reset: Your free download quota resets on the anniversary of your subscription start date.
- Non-Refundable: Pacdora dieline download fees ($2 per download) are strictly non-refundable under all circumstances.
Pacdora Service Availability:
- Pacdora is a third-party service integrated into PriceCal
- We do not control Pacdora’s availability, performance, or features
- Pacdora service interruptions do not constitute grounds for refunds or credits
- Changes to Pacdora’s features, pricing, or availability may occur without notice
4.3 PrintWeb Services
PrintWeb provides custom web-to-print solutions and online ordering platforms for print businesses.

PrintWeb services may be offered as add-ons or included in specific subscription tiers. Availability and pricing are subject to change. Contact [email protected] for current PrintWeb offerings.
4.4 Printalogue
Printalogue is our print product catalog and resource library, providing templates, specifications, and industry resources.
Access to Printalogue may vary by subscription tier. Some resources may require additional fees or be subject to usage restrictions.
5. Pricing, Payment, and Billing
5.1 Subscription Fees
Subscription fees are billed annually in advance unless otherwise specified in your plan. All prices are listed in USD unless stated otherwise.
By subscribing, you authorize us to charge your payment method for:
- Initial subscription fees
- Recurring subscription renewals
- Pacdora dieline download fees (after free quota exhausted)
- Overage charges for exceeding usage limits
- Any other applicable fees
5.2 Taxes
All prices listed are final base prices. Any applicable taxes, including but not limited to:
- Goods and Services Tax (GST)
- Value Added Tax (VAT)
- Withholding tax
- Sales tax
- Other local, state, or national taxes
Will be added on top of the listed subscription fee.
You are responsible for all taxes associated with your purchase. Tax rates and applicability depend on your jurisdiction and business classification.

5.3 Payment Methods
We accept payment via credit card, debit card, and other methods as specified during checkout. You must provide valid, up-to-date payment information.
5.4 Failed Payments
If a payment fails:
- We will attempt to process payment again
- You will be notified via email
- Your account may be suspended after 7 days of non-payment
- Late fees may apply (see Section 5.6)
5.5 Hosting, Storage, and Overage Charges
Fair Use Policy: Each subscription plan includes reasonable hosting, storage, and bandwidth allocations suitable for typical business use. Specific limits are outlined on our pricing page: https://pricecal.co/#pricing
Usage Caps: Your subscription plan includes:
- Storage space for files, designs, and data
- Bandwidth for data transfer and downloads
- Server resources (CPU, memory, database queries)
- API call limits (for plans with API access)
Monitoring: We monitor account usage to ensure fair resource allocation and service quality for all users. Usage that significantly exceeds typical patterns may be flagged for review.
Overage Charges: If your usage exceeds the caps included in your subscription plan, you will be charged additional fees as follows:
- Storage Overage: Charges apply when you exceed your plan’s storage limit
- Bandwidth Overage: Charges apply when data transfer exceeds your plan’s allocation
- API Overage: Charges apply when API calls exceed your plan’s limit (PRO and Elite plans only)

Overage charges are calculated based on actual usage and billed separately from your subscription fee.
Billing for Overages:
- Overage usage is monitored in real-time
- You will receive email notifications when approaching usage limits (typically at 80% and 95% of cap)
- Overage charges are billed monthly in arrears
- Invoices for overage charges are due immediately upon issuance
- Failure to pay overage charges may result in account suspension or termination
Upgrading to Avoid Overages: If you consistently exceed your plan’s limits, we recommend upgrading to a higher-tier plan with increased allocations. Contact [email protected] to discuss plan upgrades.
Excessive Usage: Usage that is deemed excessive, abusive, or detrimental to service performance may result in:
- Immediate account suspension
- Requirement to upgrade to a higher plan
- Throttling of service until usage returns to normal levels
- Account termination for repeated violations
Resource Optimization: We may contact you to discuss optimization strategies if your usage patterns indicate inefficient resource use or opportunities for better performance.
Third-Party Hosting Costs: If your usage requires additional third-party hosting resources (cloud storage, CDN, etc.), those costs will be passed through to you with prior notice and approval.
Taxes on Overage Charges: As outlined in Section 5.2, applicable taxes will be added on top of overage charges based on your jurisdiction.
5.6 Late Payment and Collections
Payment Due Dates:
- Subscription fees are due on your renewal date
- Overage charges are due immediately upon invoice issuance
- Additional service fees are due as specified in the invoice
Late Payment: If payment is not received by the due date:
- A late payment fee of SGD $50 or 5% of the outstanding amount (whichever is greater) may be applied
- Your account may be suspended after 7 days of non-payment
- Access to Services will be restricted until payment is received
Continued Non-Payment: If payment remains outstanding for 30 days:
- Your account will be terminated
- All data may be permanently deleted
- Outstanding amounts will be referred to collections
- You will be responsible for all collection costs, including reasonable attorneys’ fees
Reinstatement After Suspension: To reinstate a suspended account:
- Pay all outstanding fees, including late fees and overage charges
- Contact [email protected] to request reinstatement
- A reinstatement fee of SGD $100 may apply
- Reinstatement is at ExpressPrint’s sole discretion
Collections and Legal Action: ExpressPrint reserves the right to:
- Engage third-party collection agencies
- Report non-payment to credit bureaus
- Pursue legal action to recover outstanding amounts
- Seek compensation for all collection costs and legal fees
6. Subscription Renewal and Cancellation
6.1 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel at least 7 days before your renewal date.
6.2 Renewal Terms
Upon renewal:
- You will be charged the then-current subscription rate
- Pricing may change with 30 days’ notice
- Your Pacdora free download quota (200 downloads) will reset annually
- Usage caps and plan features will continue as specified
6.3 Cancellation Policy
To cancel your subscription:
- Provide at least 7 days’ notice before your renewal date
- Submit cancellation request via your account dashboard or by contacting [email protected]
- Cancellations take effect at the end of your current billing period
- No refunds for unused time (see Refund Policy)
6.4 Mid-Cycle Cancellation
If you cancel mid-cycle:
- You retain access until the end of your paid period
- No pro-rated refunds are provided
- Outstanding fees (including overage charges) remain due
- Your Pacdora download quota does not carry over
7. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms.
You may not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to hack, breach, or compromise our systems or other users’ accounts
- Use our Services to spam, harass, or harm others
- Resell or redistribute our Services without authorization
- Reverse engineer, decompile, or attempt to extract source code
- Use automated scripts or bots to access our Services excessively
- Impersonate others or provide false information
- Interfere with the proper functioning of our Services
Violation of this policy may result in immediate account suspension or termination without refund.
8. Intellectual Property Rights
8.1 Our Intellectual Property
All content, features, functionality, software, designs, logos, trademarks, and materials provided through our Services are owned by ExpressPrint/PriceCal or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, distribute, or create derivative works
- Use our trademarks or branding without written permission
- Remove or alter copyright notices or proprietary markings
8.2 Your Content
You retain ownership of content you upload or create through our Services. By using our Services, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and display your content
- Provide Services to you
- Improve and develop our Services
- Comply with legal obligations
This license terminates when you delete your content or close your account, except for content retained for legal or operational purposes.
8.3 Third-Party Content
Pacdora and other third-party services may have their own intellectual property terms. You agree to comply with those terms when using integrated third-party features.
9. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

- We collect personal, business, and technical information
- We use data to provide Services, process payments, and improve our platform
- We may share data with third-party service providers (hosting, payment processing, Pacdora, etc.)
- We implement security measures but cannot guarantee absolute security

10. Refund Policy
10.1 Non-Refundable Policy
All subscription fees, Pacdora dieline download fees, overage charges, and other service fees are NON-REFUNDABLE unless specifically included in a promotional offer or custom contract.
This non-refundable policy applies to:
- Annual subscription fees
- Monthly subscription fees (if applicable)
- Pacdora dieline downloads ($2 per download)
- Overage charges (storage, bandwidth, API usage)
- Setup fees or onboarding charges
- Add-on services or features
- Late payment fees
- Reinstatement fees
10.2 Exceptions to Non-Refundable Policy
Refunds are only granted when:
- Explicitly stated in a promotional offer you participated in
- Included as a specific term in a custom contract or agreement
- Required by applicable law in your jurisdiction
The following do NOT qualify for refunds under any circumstances:
- Service interruptions or downtime
- Data loss, corruption, or integrity issues
- Security breaches or unauthorized data access
- Third-party service failures or discontinuations (including Pacdora)
- Software bugs or technical issues
- Performance problems or slow service
- Dissatisfaction with features or functionality
- Changes to pricing, features, or terms
- Business losses or lost revenue
- Calculation errors or inaccurate outputs
- Compatibility issues with your systems
- User error or misuse of Services
- Force majeure events or circumstances beyond our control
10.3 Cancellation vs. Refund
Canceling your subscription stops future billing but does not entitle you to a refund for:
- The current billing period
- Unused time remaining in your subscription
- Unused Pacdora download quota
- Past charges or fees
10.4 Requesting a Refund
If you believe you qualify for a refund under a promotional offer or custom contract:

- Provide your account details and reason for the refund request
- Include documentation of the promotional offer or contract terms
- Refund decisions are made by management at our sole discretion
10.5 Processing Time
If your refund request is approved:
- Refunds will be processed within 14 business days of approval by management
- Refunds will be issued to the original payment method
- You will receive email confirmation once the refund is processed
- Bank processing times may vary (typically 5-10 business days)
10.6 Refund Denials
Refund requests will be automatically denied for:
- Data-related issues: Data loss, corruption, breaches, or integrity problems
- Third-party failures: Issues caused by Pacdora, hosting providers, payment processors, or other third-party services
- Service performance: Downtime, slow performance, or technical issues
- User dissatisfaction: Unmet expectations, feature limitations, or usability concerns
- Business impact: Lost revenue, customer disputes, or business interruptions
- Security incidents: Breaches, hacking, or unauthorized access
- Change of mind: Deciding you no longer need the service
- Competitive alternatives: Finding a different solution
- Financial hardship: Inability to afford continued subscription
If your refund request is denied:
- You will receive a written explanation
- The decision is final and made at management’s sole discretion
- You may not appeal based on data-related issues or third-party failures
- Outstanding subscription fees remain due and payable

11. Data Security and User Responsibilities
11.1 Our Security Measures
We implement reasonable administrative, technical, and physical security measures to protect your data, including:

11.2 No Absolute Security Guarantee

You are responsible for:

- Protecting your account credentials

11.4 Data Integrity and Third-Party Services Disclaimer
No Guarantee of Data Integrity: While ExpressPrint/PriceCal implements reasonable security measures, we do not guarantee and cannot ensure the absolute integrity, accuracy, or completeness of your data stored or processed through our Services.
Third-Party Dependencies: Our Services rely on multiple third-party providers, including but not limited to:
- Cloud hosting providers (AWS, Google Cloud, Azure, etc.)
- Payment processors (Stripe, PayPal, etc.)
- Content delivery networks (CDNs)
- Email service providers
- Analytics platforms
- Pacdora (packaging design partner)
- Database providers
- Backup and storage services
- API integrations
- Security and monitoring tools
No Liability for Third-Party Actions: ExpressPrint/PriceCal shall not be held responsible or liable for:
- Data loss, corruption, or unauthorized access occurring at third-party systems
- Service interruptions caused by third-party provider outages
- Security breaches at third-party infrastructure
- Changes to third-party APIs, features, or pricing
- Discontinuation of third-party services
- Data handling practices of third-party providers
- Errors, bugs, or defects in third-party software
- Performance issues caused by third-party dependencies
- Compliance failures by third-party providers
User Acknowledgment and Acceptance: By using our Services, you explicitly acknowledge and accept that:
- Your data may be stored, processed, or transmitted through third-party systems
- We cannot control or guarantee the security practices of third-party providers
- Data integrity risks exist inherent to cloud-based and interconnected systems
- You use our Services with full knowledge of these third-party dependencies
- You waive any right to hold ExpressPrint/PriceCal liable for data issues arising from third-party services
User Responsibility for Data Protection: You are solely responsible for:
- Maintaining independent backups of all critical business data
- Verifying data accuracy before relying on it for business decisions
- Implementing your own data protection measures
- Accepting the risks associated with cloud-based services
- Ensuring compliance with data protection regulations applicable to your business
No Basis for Refund: Data loss, corruption, integrity issues, or security incidents—whether caused by ExpressPrint, third-party providers, or any other cause—do NOT constitute grounds for:
- Subscription refunds or credits
- Account cancellation with refund
- Waiver of outstanding fees
- Claims for damages or compensation
This limitation applies even if:
- Data loss results in business interruption or financial loss
- The issue was caused by our negligence or that of our third-party providers
- You were not adequately warned of the risks
- The data cannot be recovered
Best Practices: We strongly recommend that you:
- Export and backup your data regularly (at least weekly)
- Store critical data in multiple locations
- Maintain offline copies of essential business information
- Document important calculations and pricing decisions
- Test your backup restoration procedures periodically
12. Limitation of Liability
12.1 Maximum Liability Cap
To the fullest extent permitted by law, the total aggregate liability of ExpressPrint (operating as PriceCal), its officers, directors, employees, agents, affiliates, and subsidiaries for any and all claims arising from or related to these Terms or our Services shall not exceed the lesser of:
- The amount you paid to PriceCal in the 12 months immediately preceding the claim, OR
- SGD $1,000 (Singapore Dollars One Thousand)
12.2 Excluded Damages
ExpressPrint and PriceCal shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data, information, or business records
- Business interruption or downtime
- Loss of goodwill or reputation
- Cost of substitute services or products
- Loss of anticipated savings
- Damage to third-party relationships
- Any damages arising from reliance on our Services
This exclusion applies even if ExpressPrint or PriceCal has been advised of the possibility of such damages.
12.3 Service Limitations and Disclaimers
Our Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness
- Uninterrupted or error-free operation
- Security or freedom from viruses
12.4 Service Availability
We will make reasonable efforts to maintain service availability and uptime. However, we do not guarantee uninterrupted access and may perform scheduled or emergency maintenance. In the event of service disruptions, we will make reasonable efforts to restore service and may offer service credits or extensions at our discretion.
12.5 Third-Party Services
ExpressPrint and PriceCal are not liable for:
- Performance, availability, or quality of third-party services (including Pacdora, payment processors, hosting providers)
- Actions or omissions of third-party service providers
- Data loss or breaches occurring at third-party systems
- Compatibility issues with third-party software or hardware
12.6 User Responsibility
You acknowledge and agree that:
- You use our Services at your own risk
- You are solely responsible for your business decisions based on data from our Services
- You must maintain independent backups of critical business data
- You are responsible for verifying accuracy of calculations, pricing, and outputs
- ExpressPrint is not responsible for financial losses resulting from pricing errors, calculation mistakes, or business decisions
12.7 Force Majeure
ExpressPrint shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications failures
- Power outages or infrastructure failures
- Cyberattacks, hacking, or malicious activities by third parties
- Strikes, labor disputes, or supplier failures
12.8 Indemnification by User
You agree to indemnify, defend, and hold harmless ExpressPrint, PriceCal, and their respective officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees) arising from:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any laws, regulations, or third-party rights
- Content you upload, submit, or transmit through our Services
- Your business operations or customer relationships
- Disputes between you and your customers or third parties
12.9 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.
12.10 Essential Basis of Bargain
You acknowledge that these limitations of liability are an essential element of the agreement between you and ExpressPrint, and that ExpressPrint would not provide the Services without these limitations.
12.11 Data-Related Liability Exclusion
Absolute Exclusion: To the maximum extent permitted by law, ExpressPrint and PriceCal expressly disclaim all liability for any claims, damages, losses, or expenses arising from or related to:
Data Loss or Corruption:
- Deletion, loss, or corruption of any data, files, designs, or information
- Inability to access or retrieve data
- Incomplete or partial data recovery
- Data synchronization failures
- Database errors or crashes
Data Breaches and Security:
- Unauthorized access to your data by third parties
- Hacking, cyberattacks, or security breaches
- Data leaks or exposure
- Identity theft or fraud resulting from data breaches
- Ransomware or malware attacks
Data Accuracy and Reliability:
- Inaccurate calculations, pricing, or outputs
- Data entry errors or user mistakes
- Software bugs affecting data integrity
- Compatibility issues causing data corruption
- Migration or import/export errors
Third-Party Data Issues:
- Data loss or corruption at third-party systems (Pacdora, hosting providers, etc.)
- Security breaches at third-party infrastructure
- Third-party service failures or discontinuations
- API failures or data synchronization issues with third-party services
Business Impact:
- Lost revenue or business opportunities due to data issues
- Customer disputes arising from data inaccuracies
- Regulatory fines or penalties related to data breaches
- Reputational damage from data incidents
- Cost of data recovery or reconstruction
Explicit Waiver: You explicitly waive any right to:
- Sue ExpressPrint/PriceCal for data-related issues
- Seek refunds based on data loss or integrity problems
- Claim damages for business losses resulting from data issues
- Hold ExpressPrint liable for third-party data handling failures
This waiver applies regardless of:
- The cause of the data issue (negligence, system failure, third-party fault, etc.)
- The severity of the data loss or business impact
- Whether the issue was foreseeable or preventable
- Any representations made by our staff or marketing materials
13. User Representations and Warranties
By using PriceCal Services, you represent and warrant that:
- Backup Compliance: You maintain regular, independent backups of all critical business data stored in or processed through our Services.
- Risk Acceptance: You understand and accept the inherent risks of cloud-based services, including risks of data loss, corruption, and security breaches.
- Third-Party Awareness: You acknowledge that our Services depend on third-party providers and accept the associated risks.
- Data Verification: You will verify the accuracy and integrity of data before relying on it for business decisions or customer transactions.
- No Critical Systems: You will not use our Services as the sole system for mission-critical operations without maintaining independent backup systems.
- Liability Waiver Understanding: You understand and agree to the liability limitations and data-related waivers in these Terms.
- Legal Capacity: You have the legal authority to enter into these Terms and accept these risk allocations on behalf of your business.
- Informed Consent: You have read, understood, and voluntarily accept all terms, limitations, and disclaimers in this agreement.
Breach of Warranties: If any of these representations or warranties are untrue, we may terminate your account immediately without refund, and you will remain liable for all fees and indemnify us for any resulting claims or damages.
14. Modifications to Services and Terms
14.1 Changes to Services
We reserve the right to:
- Modify, suspend, or discontinue any features or Services
- Change pricing with 30 days’ notice
- Update system requirements or technical specifications
- Add or remove third-party integrations
14.2 Changes to Terms
We may update these Terms at any time. When we make material changes:
- We will notify you via email or account notification
- The updated Terms will be posted on our website with a new “Last Updated” date

- Availability or performance of third-party services
- Transactions between you and third parties
- Third-party data handling or security
Your use of third-party services is governed by their respective terms and policies.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, EXPRESSPRINT/PRICECAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF SERVICES
- UNINTERRUPTED OR ERROR-FREE OPERATION
- SECURITY OR FREEDOM FROM VIRUSES
- RESULTS OR OUTCOMES FROM USING SERVICES

17. Termination
17.1 Termination by User
You may terminate your account at any time by following the cancellation process outlined in Section 6.
17.2 Termination by ExpressPrint/PriceCal
We reserve the right to suspend or terminate your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:
Breach of Terms:
- Violation of these Terms and Conditions
- Violation of our Privacy Policy or Refund Policy
- Misuse or abuse of our Services
- Unauthorized sharing of account credentials
Payment Issues:
- Non-payment or late payment of subscription fees
- Failed payment methods or chargebacks
- Refusal to pay overage charges or additional fees
- Fraudulent payment activities
Illegal or Harmful Activities:
- Engaging in illegal activities through our Services
- Uploading malicious code, viruses, or harmful content
- Attempting to hack, breach, or compromise our systems
- Violating intellectual property rights of ExpressPrint or third parties
- Using our Services to spam, harass, or harm others
Resource Abuse:
- Excessive use of server resources beyond reasonable limits
- Activities that degrade service performance for other users
- Exceeding hosting, storage, or bandwidth caps (see Section 5.5)
- Running unauthorized scripts or automated processes
Security Risks:
- Account compromise or security breaches originating from your account
- Failure to maintain adequate account security
- Sharing sensitive data in violation of data protection laws
Business Reasons:
- Discontinuation of Services or specific features
- Regulatory or legal requirements
- Repeated violations despite warnings
- Behavior that damages our reputation or business relationships
17.3 Suspension vs. Termination
- Suspension: Temporary restriction of access while issues are investigated or resolved. Your data remains intact during suspension.
- Termination: Permanent closure of your account. Data may be deleted after the retention period.
We may suspend your account before termination to allow you to remedy the issue. However, we reserve the right to immediately terminate for serious violations.
17.4 Effect of Termination
- Your right to access and use our Services immediately ceases
- You remain liable for any outstanding fees, including overage charges
- No refunds will be provided for unused subscription time (see Refund Policy)
- We may retain your data according to our data retention policy
18. Data Retention Policy
18.1 Retention Period
We retain account information and related data for as long as your subscription is active. After account termination, data may be permanently deleted within 30 days unless legal, regulatory, or operational requirements necessitate a longer retention period.
18.2 Backups and Archiving
We perform routine system backups and maintain operational archives for disaster recovery and business continuity purposes. These backups are intended for restoring system operations and are not a substitute for your independent backups. We do not guarantee the restoration of particular user data from backups.
18.3 Requests for Data Deletion and Export
- You may request deletion of your account data by contacting [email protected]. Once deletion is processed, recovery is not possible.
- We may provide data export services upon request; export availability, format, and timing will depend on system capabilities and may incur administrative fees for substantial or complex requests.
- Requests to retain data for legal holds or regulatory compliance must be submitted in writing and will be handled according to applicable law.
18.4 Exception for Aggregate and Anonymized Data
We may retain anonymized or aggregated usage data for analytics, product development, and compliance purposes. Such data will not identify individual Users.
19. Confidentiality
19.1 Mutual Obligations
Both parties agree to preserve the confidentiality of all non-public business, technical, and financial information disclosed under these Terms (“Confidential Information”). Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed without reference to the disclosing party’s Confidential Information, or required to be disclosed by law.
19.2 Permitted Disclosures
Each party may disclose Confidential Information to its employees, contractors, advisors, or affiliates who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those set out herein. Each party shall use reasonable measures to protect Confidential Information from unauthorized disclosure.
19.3 Injunctive Relief
Because monetary damages may be insufficient to remedy certain breaches of confidentiality, the disclosing party may seek equitable relief, including injunctive relief, in the event of actual or threatened breach, in addition to any other remedies available at law or in equity.
20. Dispute Resolution
20.1 Good-Faith Negotiation
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute by good-faith negotiation between senior representatives within thirty (30) days of written notice of the dispute.
20.2 Mediation
If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation administered by the Singapore Mediation Centre (or another mutually agreed mediator) before initiating court proceedings. The costs of mediation shall be borne equally by the parties unless otherwise agreed.
20.3 Legal Proceedings
If mediation does not resolve the dispute, either party may pursue any legal remedies available at law or in equity. Subject to the governing law provision (Section 21), the courts of Singapore shall have exclusive jurisdiction over disputes arising from these Terms.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. You agree that any dispute, claim or cause of action arising out of or related to these Terms shall be brought exclusively in the courts located in Singapore, unless otherwise agreed in writing by the parties.
22. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect. The parties shall negotiate in good faith to replace the invalid provision with a valid provision that, as nearly as possible, achieves the original intent of the invalid provision.
23. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, any written service agreement, and any order forms signed by the parties, constitute the entire agreement between you and ExpressPrint (operating as PriceCal) with respect to the subject matter hereof and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written, between the parties.
24. No Waiver
No failure or delay by ExpressPrint in exercising any right, power or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other right, power or privilege. Any waiver must be in writing and signed by an authorized representative of ExpressPrint to be effective.
25. Assignment
You may not assign, transfer or delegate any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. ExpressPrint may assign these Terms, in whole or in part, to any affiliate or successor or in connection with a merger, acquisition, corporate reorganization, or sale of assets without your consent.
26. Notices and Communication
All official notices and communications under these Terms shall be in writing and sent to the addresses provided in your account or to the contact information below. Notices to ExpressPrint should be sent to [email protected]. We may send operational or legal notices to the email address associated with your account; it is your responsibility to keep your contact information accurate and up to date. Notice is deemed given: (a) on the date of delivery if delivered personally or by nationally recognized overnight courier; (b) on the date of transmission if sent by email (provided no bounce-back is received); or (c) on the date received if mailed by certified or registered mail, return receipt requested.
